SALIBO TERMS OF SERVICE

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern access to and use of the Salibo platform, including any applications, software, systems, websites, dashboards, interfaces, and related services operated by or on behalf of Salibo Ltd (company number 16376153) (together, the “Platform”).

By accessing, registering for, or using the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all users of the Platform, including, without limitation, clients, security officers, service providers, and SaaS customers (each a “User”).

2. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

  • a) “Salibo” means Salibo Ltd, a company incorporated in England and Wales.
  • b) “User” means any individual or entity that accesses or uses the Platform.
  • c) “Client” means a User seeking security services, technology services, or access to security personnel.
  • d) “Security Officer” means an individual using the Platform in connection with security or related services.
  • e) “Provider” means a third-party service provider using the Platform.
  • f) “SaaS Services” means software and systems licensed through the Platform.
  • g) “AI Services” means any AI-assisted, automated, or algorithmic tools made available through the Platform.
  • h) “AI CCTV Alerts” means automated notifications, prompts, flags, or signals generated by Salibo’s AI-enabled video analytics systems based on algorithmic analysis of visual data from CCTV or similar video sources, intended solely to support situational awareness and human decision-making. AI CCTV Alerts are advisory in nature only, may be subject to false positives or false negatives, and do not constitute confirmation of an incident, a determination of risk, or an instruction to act.
  • i) “Content” means any data, text, images, reports, alerts, or other information made available via the Platform.
  • j) “Incident Data” means data generated in connection with incidents, reports, alerts, monitoring activity, or operational records.

Headings are for convenience only and do not affect interpretation.

3. Salibo’s Role and Legal Capacity

Salibo operates primarily as a technology platform and systems provider. Depending on the specific service accessed and subject to separate written agreements, Salibo may facilitate access to security personnel, provide managed security services, license software, or deliver AI-enabled monitoring, reporting, and intelligence tools.

Where Salibo provides managed security services under a separate written agreement, Salibo may act as an employer of security personnel solely for the purposes and duration of that engagement, subject to the terms of the applicable employment and service agreements.

  • a) Salibo does not act as an employer, agent, principal, partner, or joint venture of any User;
  • b) No employment, worker, agency, partnership, or joint venture relationship is created;
  • c) Salibo does not guarantee the performance, conduct, availability, suitability, or actions of any third party.

Each service accessed through the Platform is governed by its applicable agreement and associated policies.

4. Platform Access and Eligibility

Access to the Platform is conditional upon:

  • a) meeting applicable eligibility and onboarding requirements;
  • b) providing accurate, complete, and up-to-date information;
  • c) complying with all applicable laws and regulations.

Salibo reserves the right, at its discretion, to refuse, suspend, restrict, or terminate access to the Platform at any time where Salibo reasonably believes that a User has breached these Terms or that continued access presents legal, regulatory, security, or operational risk.

5. Services Overview

The Platform may enable access to, or support delivery of, one or more of the following (on a non-exhaustive basis):

  • a) facilitation of engagement between clients and security personnel;
  • b) managed security services, where separately agreed in writing;
  • c) SaaS licensing and systems access;
  • d) AI-assisted incident reporting, monitoring, and alerting, including AI CCTV Alerts;
  • e) compliance, audit, and operational management tools.

Salibo does not warrant that any service will be continuously available, error-free, or suitable for any particular purpose unless expressly stated in a separate written agreement.

6. User Obligations

Users must:

  • a) use the Platform lawfully and in accordance with these Terms;
  • b) comply with all applicable laws, including data protection, employment, health and safety, and security legislation;
  • c) not misuse the Platform, including any surveillance, monitoring, or data features;
  • d) not interfere with or attempt to circumvent Platform security, controls, or safeguards;
  • e) cooperate with reasonable audits or investigations conducted by or on behalf of Salibo.

Users remain responsible for their own acts and omissions and for ensuring that their use of the Platform does not infringe the rights of others.

7. AI Services and AI CCTV Alerts

Any AI Services, including AI CCTV Alerts, provided through the Platform are intended to support human decision-making and situational awareness only. Without limitation:

  • a) do not make legal, disciplinary, enforcement, or safety-critical decisions;
  • b) do not constitute continuous monitoring or a life-safety system;
  • c) may be subject to false positives, false negatives, latency, or limitations inherent in algorithmic analysis;
  • d) do not replace human judgment, statutory duties, or site-specific controls.

Users remain solely responsible for decisions and actions taken in reliance on Platform outputs, including any AI CCTV Alerts.

8. Data, Content, and Intellectual Property

All intellectual property rights in the Platform, including software, systems, AI models, and Content (excluding User-provided data), are owned by or licensed to Salibo. Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes. Users must not copy, modify, reverse engineer, scrape, or otherwise misuse the Platform or its Content. Data processing is governed by Salibo’s Privacy Policy and, where applicable, a Data Processing Agreement.

9. Suspension, Audit, and Enforcement

Salibo may suspend, restrict, or terminate access to the Platform, in whole or in part, where it reasonably believes that:

  • a) these Terms have been breached;
  • b) the Platform is being misused;
  • c) continued access presents legal, regulatory, security, or operational risk.

Salibo reserves the right to audit Platform usage and investigate suspected misuse, subject to applicable law.

10. Fees and Payments

Fees may apply to certain services accessed through the Platform. Pricing, billing terms, and payment obligations are set out in separate agreements or pricing schedules. Salibo reserves the right to amend pricing with reasonable notice where permitted.

11. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law. Subject to the above, Salibo shall not be liable for:

  • a) indirect, consequential, or economic loss;
  • b) loss of profit, revenue, business, or data;
  • c) acts or omissions of third parties;
  • d) reliance on Platform outputs, AI Services, or AI CCTV Alerts.

Salibo’s total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the amount paid by the User to Salibo in the preceding 12 months, or £100 if no fees were paid.

12. Indemnity

Users agree to indemnify and hold harmless Salibo against losses arising from:

  • a) misuse of the Platform;
  • b) breach of these Terms;
  • c) unlawful, negligent, or unauthorised acts or omissions.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

14. Changes to Terms

Salibo may update these Terms from time to time. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.

15. Privacy Policy

The Privacy Policy forms part of these Terms and is incorporated by reference. In the event of any inconsistency, the Privacy Policy shall prevail in relation to personal data processing matters.

16. General Provisions

  • a) Entire Agreement: These Terms constitute the entire agreement relating to Platform access.
  • b) Severability: Invalid provisions shall be severed without affecting the remainder.
  • c) No Waiver: Failure to enforce a provision is not a waiver.
  • d) Assignment: Salibo may assign these Terms.
  • e) Third-Party Rights: No third party has rights under the Contracts (Rights of Third Parties) Act 1999.

Salibo operates primarily as a technology and systems provider. We provide software, dashboards, and AI-assisted tools to support security operations, reporting, compliance, and monitoring.

Salibo does NOT:

  • Act as an employer, agent, partner, or joint venture.
  • Control how users perform their services.
  • Guarantee the conduct, availability, or performance of third parties.

Use of the platform alone does not create any employment, agency, or partnership relationship.

  • AI tools are assistive and advisory only.
  • Alerts are derived indicators and may be occasionally inaccurate.

Platform Access & Use Controls

Access to the Salibo platform is conditional on continued compliance with these Terms and applicable law.

If Salibo Believes:

  • These Terms have been breached.
  • The platform is being misused.
  • Continued access creates legal, regulatory, security, or operational risk.

Salibo May:

  • Restrict access to certain features.
  • Temporarily suspend access while reviewed.
  • Terminate access where risks cannot be resolved.

These measures are preventative and protective in nature and may be applied without prior notice where necessary.

Liability Cap

Fees paid in last 12m (or £100). Exceptions apply by law.
